Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and PBP Network ("PlayByPlay", "we", "our", or "us") governing your access to and use of the PBP Network mobile application, website, and all related services (collectively, the "Service").

By creating an account, downloading the app, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

You must be at least 18 years of age to use the Service. The Service is intended solely for adults, and we do not knowingly permit anyone under 18 to create an account or use the Service. If we become aware that an individual under 18 has registered, we will terminate the account and delete the associated personal information.

By using the Service, you represent and warrant that you are at least 18 years old, that you have the legal capacity to enter into a binding agreement, and that you are not prohibited from using the Service under any applicable law.

To access most features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. This includes your phone number, which may be collected during registration and used to send you transactional and, with your consent, marketing SMS messages.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at Contact@playbyplay.app if you suspect unauthorized access to your account.

You may not share your account, transfer it to another person, or create multiple accounts for the same individual. We reserve the right to terminate duplicate or fraudulent accounts.

Subject to your compliance with these Terms, PBP Network grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial recreational sports purposes.

• Recording and tracking scores, statistics, and game events for leagues and teams you participate in
• Viewing standings, leaderboards, and player statistics within your leagues
• Streaming live games to supported third-party platforms for non-commercial purposes
• Communicating with teammates and league organizers through the platform
• Managing team rosters, schedules, and league events as a league director

You agree not to engage in any of the following while using the Service:

The Service allows you to submit content including profile information, photos, and communications ("User Content"). You retain ownership of your User Content, but by submitting it you grant PBP Network a worldwide, royalty-free, non-exclusive license to use, store, display, and distribute your User Content solely for the purpose of operating and improving the Service.

You represent and warrant that you own or have the necessary rights to any User Content you submit, and that such content does not violate the rights of any third party or any applicable law.

We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is harmful, offensive, or otherwise inappropriate.

Game scores, player statistics, and other gameplay data entered into the Service are used to power league standings, leaderboards, and player profiles. You agree that data you submit on behalf of a league or team is accurate to the best of your knowledge.

Aggregated or anonymized statistical data may be used by PBP Network for product improvement, analytics, and benchmarking purposes. Individual statistical records remain associated with your account in accordance with our Privacy Policy.

League directors and designated scorekeepers are responsible for the accuracy of data they enter. PBP Network is not liable for errors in game records resulting from user input.

The Service enables you to live stream games to third-party platforms including YouTube, Twitch, TikTok, and Facebook. When you stream to these platforms, you are solely responsible for compliance with those platforms' terms of service, community guidelines, and any applicable broadcast rights or licensing requirements.

You must not stream content that infringes intellectual property rights, contains unauthorized music or copyrighted material, or violates the privacy of individuals captured in the stream without their consent.

PBP Network provides streaming infrastructure as a technical service only. We do not monitor stream content in real time and are not responsible for content transmitted to third-party platforms.

The Service offers an optional feature to link your National Softball Association (NSA) Canada player account for rank verification. This feature is entirely voluntary.

By using this feature, you consent to PBP Network submitting your first name, last name, and date of birth to the NSA Canada API to search for a matching player record. PBP Network is not affiliated with or endorsed by NSA Canada.

Your NSA Canada rank, once linked, will be visible on your player profile to other users in leagues and events you participate in.

Play By Play Network is a sponsor-supported platform. Players and Coaches participate in the Play By Play Network Sponsor Program. Official sponsors provide funding that helps support tournaments, prizes, player recognition programs, livestream production, community events, and ongoing platform development.

By registering as a Player or Coach and providing your express consent during registration, you acknowledge and agree that certain contact information and Player Profile Information may be shared with official, approved Play By Play Network sponsors for sponsorship administration, player opportunities, promotional offers, contests, marketing communications, tournaments, community initiatives, and sponsored programs.

Information shared with sponsors is limited to: first name, last name, email address, birth year, team, league, participation history, and selected Player Profile Information you choose to include in your profile. Play By Play Network does not share your full date of birth, payment information, passwords, or device identifiers with sponsors. Users registered as Fans are not subject to sponsor data sharing and do not participate in the Sponsor Program. Players and Coaches may withdraw their consent to sponsor data sharing at any time by contacting us at Contact@playbyplay.app — withdrawal does not affect your ability to access or use the Service.

The Service integrates with third-party providers for authentication, data storage, live video streaming, video storage, email delivery, and push notifications. Your use of these integrations is subject to the respective third-party terms of service and privacy policies.

PBP Network is not responsible for the availability, accuracy, or practices of third-party services. Links or integrations with third-party platforms do not constitute endorsement of those platforms.

The PBP Network name, logo, app design, software, and all associated content created by us are the exclusive property of PBP Network and are protected by copyright, trademark, and other intellectual property laws.

Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our prior written consent. Unauthorized use of our intellectual property is strictly prohibited.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any content or data within the Service.

Your use of the Service is at your sole risk. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PBP NETWORK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED AND FIFTY CANADIAN DOLLARS (CAD $150).

These limitations apply regardless of the legal theory under which the claim arises, even if we have been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless PBP Network and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your User Content, your violation of these Terms, or your violation of any rights of another person or entity.

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

You may terminate your account at any time by contacting us at Contact@playbyplay.app. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property rights, disclaimers, and limitations of liability.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached informally within 30 days, disputes shall be resolved through binding arbitration, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction for matters involving intellectual property or unauthorized access.

We may update these Terms from time to time. When we make material changes, we will notify you via the app or by email at least 7 days before the changes take effect. The updated Terms will be posted with a revised "Last Updated" date.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
